These Terms of Service ("Terms") govern access to and use of the services provided by Pong Enterprise, Corp. ("Pong," "we," "us," or "our"), including our Slack-integrated application, web application, AI platform integrations (such as ChatGPT and Claude, connected via the Model Context Protocol), related websites, and third-party integration features (collectively, the "Service"). By accessing or using the Service, you agree to these Terms.
If you are agreeing to these Terms on behalf of an organization, you represent that you have authority to bind that organization. You may not use the Service if you are under 18 years old.

Definitions
Key Terms
- Customer: The company or other organization that subscribes to the Service.
- Authorized Users: Individuals invited or permitted by Customer (e.g., via Slack workspace membership) to use the Service on Customer's behalf.
- Admin(s): Authorized Users designated by Customer with administrative privileges (e.g., seat management, permissions, billing).
- Customer Content: Content that Authorized Users intentionally submit to the Service (e.g., questions, answers, follow-ups, and related metadata).
- Subscription: Customer's paid plan for the Service.
- Third-Party Integrations: Services not provided by Pong that Customer or Authorized Users connect to the Service.
- AI Platform Integrations: Connections between the Service and AI platforms (such as ChatGPT and Claude) via the Model Context Protocol (MCP) that allow Authorized Users to access Customer Content through those platforms.
Who May Use the Service
The Service is offered only to organizations (no individual self-serve plans). Customer is responsible for: (a) its Authorized Users' compliance with these Terms, and (b) keeping account credentials secure. Customer will ensure its Admins set appropriate workspace permissions and seat assignments.
Eligibility
Users must be 18+.
Access to the Service & Acceptable Use
Access to the Service
Subject to these Terms and Customer's timely payment of fees, Pong grants Customer a limited, non-exclusive, non-transferable right for its Authorized Users to access and use the Service during the Subscription term.
Pong may modify the Service from time to time (including UI changes, new features, deprecations, and maintenance windows). Pre-release or beta features may be added or removed at any time.
Acceptable Use
Customer and Authorized Users will not:
- Misuse the Service or interfere with its operation
- Upload unlawful, infringing, or harmful content
- Attempt to access the Service or related systems without authorization
- Reverse-engineer or create derivative works of the Service
- Use the Service to send spam
- Bypass usage limits or seat controls
- Resell, sublicense, or make the Service available to any third party other than Authorized Users
- Use the Service in violation of applicable law, Slack policies, or third-party terms
Third-Party Integrations & Slack
The Service may enable connections to third-party integrations. Those services have their own terms and privacy policies, which govern your use of them. Pong is not responsible for third-party services and does not control their content or availability.
AI Platform Integrations. Authorized Users may connect Pong to AI platforms (such as ChatGPT and Claude) via the Model Context Protocol (MCP). When connected, the AI platform may request Customer Content (such as Q&A text and metadata) on behalf of the Authorized User. Data is returned only in response to user-initiated queries and is scoped to the user's organization. Each AI platform's own terms and privacy policy govern how it processes the data it receives. Customer is responsible for ensuring its Authorized Users understand and consent to these data flows before connecting.
AI Platform Disclaimer. Pong is not responsible for how AI platforms process, store, retain, or use Customer Content after it has been delivered in response to a user's query. Pong does not control the outputs, accuracy, or behavior of AI platforms. Customer's use of AI platforms is subject to those platforms' respective terms of service.
The Service depends on Slack to operate within Slack workspaces. Customer and Authorized Users must comply with Slack's terms and policies. Slack's availability or policy changes may affect the Service.
Customer Content & Data Handling
No Blanket Slack Access
Pong does not have general access to Customer's Slack messages. Pong stores and processes only the Customer Content that users intentionally and manually submit to the Pong application or create through direct interactions with the Pong application.
Ownership & License
Customer owns Customer Content. Customer grants Pong a non-exclusive, worldwide, royalty-free license to host, process, transmit, display, and adapt Customer Content solely to provide and improve the Service for Customer. This includes serving Customer Content to AI platforms that Authorized Users have connected via AI Platform Integrations, in response to those users' queries.
Pong does not use Customer Content to train models for other customers, and our third-party AI providers do not use Customer Content to train their models.
Customer Representations
Customer represents and warrants that: (a) Customer has the right to submit all Customer Content to the Service; (b) Customer Content does not infringe, misappropriate, or violate any third party's intellectual property, privacy, or other rights; and (c) Customer Content complies with applicable law and these Terms.
Controller/Processor Roles
For Customer Content, Customer is the controller and Pong is a service provider/processor acting on Customer's instructions. For website, billing, support, and account administration data, Pong is the controller. See our Privacy Policy for details.
Security & Privacy
Pong implements safeguards intended to protect information, including encryption in transit (HTTPS/TLS), encrypted storage on SOC 2–aligned platforms, AWS KMS envelope encryption for third-party integration tokens, secure database connections, environment-variable isolation, and least-privileged access controls.
No method of transmission or storage is perfectly secure, but we continuously work to protect the Service.
Privacy Policy
The Privacy Policy at trypong.com/privacy is incorporated by reference and describes how we collect, use, and disclose information.
Availability & Support
Availability
No formal SLA applies. Pong uses commercially reasonable efforts to keep the Service available, but interruptions may occur (e.g., maintenance windows, third-party or network outages).
Support
Email support is available at support@trypong.com; Pong will use reasonable efforts to respond within a reasonable time during normal business hours.
Fees, Billing & Taxes
Pricing Model
Subscriptions may include seat-based and outcome-based fees.
Billing & Auto-renewal
Subscriptions are billed via Stripe and auto-renew monthly until canceled by Customer via Customer's Stripe billing page or as otherwise provided in the ordering flow.
Fee Changes & Refunds
Pong may update fees for a renewal term by providing at least 30 days' prior notice. Except where required by law, payments are non-refundable.
If Customer exceeds included usage, Pong may charge overage fees at the then-current rates. Fees are exclusive of taxes; Customer is responsible for all taxes, duties, and similar fees.
Term & Termination
Term
These Terms begin when Customer first uses the Service and continue while Customer has an active Subscription.
Cancellation & Termination
Customer may cancel at any time via Customer's Stripe billing page; cancellation stops future auto-renewals but does not entitle Customer to a refund for the then-current billing period.
Pong may suspend access immediately if Customer: (a) materially breaches these Terms; (b) fails to pay fees within 15 days of a past-due notice; (c) poses a security risk to the Service or other customers; (d) uses the Service unlawfully; or (e) if required by law or court order. Pong will endeavor to provide advance notice of suspension where practicable.
Either party may terminate these Terms for convenience by providing 90 days' written notice to the other party. If Pong terminates for convenience, Customer will receive a pro-rata refund of any prepaid fees covering the period after termination.
Post-termination
Upon termination, Pong will make Customer Content available for export for 30 days upon written request (email to support@trypong.com is sufficient). Exports will be provided in a standard machine-readable format (e.g., JSON or CSV). After the 30-day period, Customer Content will be deleted as described in the Privacy Policy. Any AI Platform Integration tokens are revoked immediately upon termination.
Beta Features & Intellectual Property
Beta & Pre-Release Features
Pong may offer optional beta or pre-release features. Such features are provided "as is", may contain bugs, and may be modified or discontinued at any time.
Intellectual Property
Pong and its licensors own all right, title, and interest in and to the Service and related technology, templates, and documentation, including all associated intellectual property rights.
If Customer or Authorized Users provide suggestions or feedback, Pong may use them without restriction or obligation.
Confidentiality
Each party will protect the other's non-public information (including Customer Content, technical data, and pricing) using reasonable care and use it only to perform under these Terms.
Either party may disclose confidential information to the extent required by law, provided it gives the other party prompt notice where legally permitted.
Warranties & Liability
Warranties & Disclaimers
The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Pong disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
Pong does not warrant that the Service will be uninterrupted, secure, or error-free.
Limitation of Liability
Cap: Pong's total liability arising out of or related to these Terms will not exceed the amounts paid by Customer to Pong for the Service in the twelve (12) months before the event giving rise to liability.
Excluded damages: Pong will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages; loss of profits or revenues; loss of data, use, or goodwill; or business interruption.
Indemnification
Customer indemnification. Customer will defend, indemnify, and hold harmless Pong and its officers, directors, employees, and agents from and against any third-party claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) Customer Content or Customer's use of the Service; (b) Customer's violation of these Terms; or (c) Customer's violation of any third-party rights, including intellectual property or privacy rights.
Pong indemnification. Pong will defend, indemnify, and hold harmless Customer from and against any third-party claims that the Service (excluding Customer Content and third-party components) infringes a valid patent, copyright, or trademark. Pong's obligations under this section do not apply if the claim arises from Customer Content, modifications not made by Pong, or use of the Service in combination with non-Pong products.
Procedure. The indemnified party will: (i) promptly notify the indemnifying party in writing; (ii) give the indemnifying party sole control of the defense and settlement; and (iii) provide reasonable cooperation. The indemnifying party will not settle any claim in a manner that imposes obligations on the indemnified party without its prior written consent.
Legal Terms & Miscellaneous
Governing Law & Venue
These Terms are governed by the laws of the State of Delaware. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Delaware for any dispute. Both parties waive the right to participate in a class action and waive any right to a jury trial.
Assignment & Export Control
Customer may not assign these Terms without Pong's prior written consent. Pong may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets.
Customer will comply with U.S. and other applicable export control and sanctions laws.
Changes to Terms
We may update these Terms from time to time. If we make material changes, we will notify Customer by email, indicate the "Last Updated" date, and the changes will become effective on the stated effective date.
Force Majeure
Neither party will be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including natural disasters, war, terrorism, labor disputes, government actions, internet or telecommunications failures, or outages of third-party services (such as Slack, AI platforms, or hosting providers). The affected party will promptly notify the other and use reasonable efforts to mitigate the impact.
Notices
Legal notices to Pong must be sent to contact@trypong.com. Notices to Customer will be sent to the email address associated with Customer's Admin account. Email notices are deemed received on the next business day after sending.
Severability & Waiver
If any provision of these Terms is held to be invalid or unenforceable, that provision will be modified to the minimum extent necessary (or severed if modification is not possible), and the remaining provisions will continue in full force and effect.
A party's failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.
Survival
The following sections survive termination or expiration of these Terms: Definitions, Customer Content & Data Handling (ownership provisions), Confidentiality, Warranties & Liability, Indemnification, and Legal Terms & Miscellaneous.
Entire Agreement
These Terms (together with any order details, DPA, and the Privacy Policy) are the entire agreement between Customer and Pong regarding the Service and supersede prior or contemporaneous agreements.
